Mitie Group Plc acquires Argus Fire in £38 million deal with guidance from Headpoint Advisors.

On Tuesday, April 22, 2025, Headpoint announced that they had advised the shareholders of Argus Fire on the complete sale of their business. The company, which specializes in engineering-led fire systems and has over 40 years of experience in the industry, was acquired by Mitie, a leading technology-led facilities transformation company in the UK.

Argus Fire’s expertise in the design, installation, servicing, and maintenance of active fire protection, detection, and alarm systems will enhance Mitie’s existing fire safety offering and support customers in meeting evolving legislative requirements.

Mitie, a FTSE 250 business with a revenue of £4.5 billion, is headquartered in The Shard, London and employs 68,000 colleagues. The company has around 3,000 blue chip customers and is known for its technology-driven approach to facilities management.

Argus Fire will become a part of Mitie’s Fire and Security business, joining previous acquisitions GBE Converge and RHI Industrials. This acquisition will further strengthen Mitie’s position as a leading provider in the high-growth and high-margin c.£3 billion p.a. UK fire and security market.

With a diverse customer base and long-standing relationships across various sectors such as education, healthcare, logistics, industrial warehousing, retail, construction, and transport and aviation, Argus Fire will bring valuable expertise to Mitie’s portfolio of services for customers across the built environment.

Based in Stourbridge, West Midlands, Argus Fire has a team of 200 employees, including an experienced senior management team with over 100 collective years of experience in the fire protection industry. They will all be joining Mitie’s Fire and Security business. In the financial year ending March 31, 2024, Argus Fire reported a revenue of £44.3 million and EBITDA of £3.8 million.

Simon Woodings, Chairman of Argus Fire, expressed his belief that joining the Mitie family is a timely and fantastic opportunity for the combined business to utilize the expertise of both companies and further drive growth. He also mentioned that the cultural fit between the two companies was evident from the beginning and that they shared similar values.

Matt Lincoln, Managing Director of Argus Fire, added that he was delighted to join Mitie and looked forward to leveraging their blue-chip customer base, financial strength, and fast-growing fire and security team to create more opportunities for the business. He also expressed his pride in the Argus Fire team and their skills in the industry.

Emmet Keating, Partner at Headpoint who led the deal, commented on the sale, saying that they were excited about the opportunity for the Argus Fire management team and workforce to be a part of the wider Mitie Group. He emphasized the importance of understanding the objectives of the shareholders and delivering a transaction that worked for all parties involved. He also mentioned the strong cultural fit and shared values between the two companies and believed that this acquisition would prove to be beneficial for both businesses.

Headpoint, which provides specialist corporate finance advice to owners of private companies, was supported by Henry Baker and Victoria Bond on corporate finance aspects. They worked with Gateley (Max Moore, Claire Stretton, and Sophie Gill) to advise the Argus Fire shareholders on this transaction.
